PayPal — the profit-conversion test

Q3 2026, reported Oct 27, 2026. The 2026 pattern: PayPal beat in 7 of its last 8 quarters, but beats alone didn't move the stock — guidance and margin did. This quarter delivered both a beat and a raise, on margin rather than volume.

Guidance: full-year non-GAAP EPS raised to ~$5.60 (from ~$5.38); Q4 guided to ~$1.43 vs $1.23 a year ago. Footnote: the GAAP / non-GAAP gap ($1.25 vs $1.45) is mostly $178M of restructuring charges, $33M of acquired-intangible amortisation and tax effects — see the Glossary. Bull case

  • Volume re-accelerating: TPV +10–11% in Q1–Q2, Venmo/Braintree mid-teens, BNPL +23–26%.
  • Branded checkout stabilised at +2% instead of shrinking; Q3 margin recovery supports the conversion story.
  • ~10× earnings vs ~34–35× for Visa/Mastercard; $6B buybacks and $6B+ FCF guide support the equity.
  • David Einhorn's Greenlight added PYPL in Q2 at an average ~$43.53, arguing the asset base was undervalued.

Bear case

  • Q3's beat was margin-led: revenue and TPV both came in light — the growth question is still open.
  • Structural mix shift pressures take rate and margin; active accounts flat at ~439–440M.
  • FCF fell 17% in Q3; GAAP EPS fell 4% on restructuring and taxes.
  • Competition: Apple Pay, Shop Pay, Stripe and BNPL providers remain the persistent overhang.
Takeover overhang — handle with care: Reuters reported Jul 15, 2026 that Stripe + Advent offered $60.50/share (~$53.4B); the board reportedly rejected it and Bloomberg reported Aug 27–28 that the consortium walked away. A low-credibility Oct 23 item claiming a “renewed” bid is unverified chatter, not a live offer — no company statement or filing confirms one.

Holder takeaway

Positive, because the raise is what the stock had been waiting for — but it's a margin-led beat, not a growth re-acceleration. Non-GAAP for the trend, GAAP for the truth: watch whether the $0.20 gap stays restructuring-sized or becomes a habit.

Watch next — Q4 print

  • Branded checkout TPV: holds +2% or re-accelerates? Take rate stabilises above 1.61%?
  • Cost savings: is the ~$400M 2026 tranche visible in operating margin?
  • Any update on the Stripe/Advent overhang, 2027 segment reporting, or capital returns.

Note: Q3 2025 revenue is quoted as $949.6M adjusted on some tables vs ~$962M on others — provider bases differ; the YoY growth rates (+31–32% into Q3 2026 consensus) are consistent. Q4 2024's $0.29 included a one-off tax benefit.

Bull case

  • Flywheel accelerating: members +35%, products +44%, cross-sell 51%, record originations.
  • Deposits fund prime borrowers cheaply; fee-based revenue growing; NIM expanded in Q3.
  • Tangible book +25% YoY; stablecoin settlement is a genuinely differentiated asset.
  • If 40%+ growth converts to profit as marketing normalises, ~$20 consensus comes into view.

Bear case

  • Fair-value marks on a ~$46–48B loan book: KBW flagged >$1B gross pre-hedge Q3 headwind from higher rates.
  • Fast loan growth consumes capital; dilution is real (share count +~14–16% YoY).
  • Tech Platform shrank after a large exit; Financial Services margin fell on heavy marketing.
  • Rate backdrop turned hostile: Fed hiked Sep 16, 2026 to 3.75–4.00%; 10-yr ~5.27–5.31% in early Oct.

Holder takeaway

Growth and profitability and a raise and a 2027 guide — the quarter the thesis needed. If the stock still sells off on this, the debate stops being about execution and starts being about valuation and rates.

Watch next — Q4 print

  • Fair-value marks vs hedges; NIM and deposit costs after the rate reset.
  • Capital: CET1/total capital vs 18.8%, and any repeat of “no new equity needed.”
  • Loan Platform + fee-based mix: does capital-light revenue fund growth without dilution?

Analysts: Moderate Buy, split and drifting — TipRanks avg target $20.47; Barchart ~$20.18; Nexqual (26 analysts) mean $20.22, range $12–$30. Bulls: StoneX Buy $25 (Oct 13), Monness Crespi Buy $20 (Oct 26), Benchmark Strong Buy (Oct 14). Bears: KBW Sell, target cut $16 → $15; Goldman Hold $18 → $15; Truist Hold $19 → $16.

Projects & the build-out

Operating & ramping

  • Calcasieu Pass (~10 MTPA): commercial ops since Apr 15, 2025; 37 Q2 cargoes despite turbine maintenance.
  • Plaquemines (~20 MTPA; ~27.2 with Phase 2): Phase 1 COD targeted Q4 2026 (slipped one quarter); Phase 2 COD mid-2027.
  • CP2 (~20 MTPA): under construction; first LNG targeted H2 2027; Phase 2 FID + financing Mar 2026.

Expansions & optionality

  • CP2 expansion upsized to 11.7 MTPA (FID targeted early 2027); Plaquemines expansion 6.4 MTPA (FID mid-2027).
  • Combined ambition ~85 MTPA by end-2029; >100 MTPA in production/construction/development; ~$137B signed contract revenue cited at Q1 call.
  • AI power (Oct 15): framework deals with GE Vernova + Baker Hughes for up to 16 × 720 MW power islands. No signed data-centre tenant disclosed — option value, not contracted cash flow.

Bull case

  • Second-largest US LNG exporter, scaling fast: revenue +48%, EBITDA +79% in Q2; 1,000 cargoes in 4 years.
  • 91% of 2026 cargoes contracted; EBITDA guide raised twice to $8.7–$9.1B; path to ~85 MTPA by 2029.
  • ~9–11× trailing earnings with a Buy consensus and ~$17+ average target; AI-power option on top.

Bear case

  • Debt-funded and cash-negative: $42.5B debt, −$7B TTM FCF, ~$0.5B quarterly interest.
  • Arbitration scar tissue: BP partial award Oct 2025 (claim cited $3.7B to >$6B, damages hearing 2026); Galp partial award Oct 7, 2026 capped at $170M; Orlen (>$2B cited) decision expected by end-2026.
  • Spot exposure on the ~9% uncontracted tail; execution risk on Plaquemines COD and CP2.

Holder takeaway

VG holders get paid for deleveraging evidence, not volume records. Q3 (Nov 10) must show Plaquemines Phase 1 on track for Q4 COD, EBITDA tracking to the raised guide, and cash flow starting to bend leverage down.

Watch next — into 2027

  • Plaquemines Phase 1 COD: confirmed in Q4 2026 or slipped again? Phase 2 readiness for mid-2027.
  • Leverage & cash conversion: debt vs EBITDA, FCF, $3B revolver / refinancing savings.
  • Arbitration: BP damages hearing, Orlen decision; 2027 contracting above the 91% level.

Four numbers, two versions each

GAAP vs non-GAAP EPS — PayPal Q3: $1.25 vs $1.45

GAAP is the standardised, audited accounting every public company must report. Non-GAAP strips out items management argues aren't core operations — for PayPal, mostly $178M of restructuring, $33M of acquired-intangible amortisation, investment gains/losses and tax effects. Which to follow? Non-GAAP is what the market trades on — analyst estimates and guidance are non-GAAP. GAAP is the reality check: read the reconciliation every quarter. Small, stable gap = non-GAAP is a fair view. A gap that keeps widening, or “one-time” charges every quarter = trust GAAP more. Rule of thumb: non-GAAP for the trend, GAAP for the truth.

Free cash flow vs adjusted FCF — $1.43B vs $2.05B

Operating cash flow ($1.59B) is cash the business generated. Free cash flow subtracts capital spending ($161M) — real cash left over. Adjusted FCF adds back a $616M timing item for BNPL loans PayPal originates, briefly holds, then sells: cash goes out and returns on different days, so raw FCF swings on timing alone. Useful for the trend — but if adjusted FCF is always far above actual FCF, the “timing” is really cash out the door. In Q3 both fell YoY (FCF −17%, adjusted −10%), so the softness was real either way.
